Please read these Terms of Service carefully before using the Virtex website or services. By accessing our website or engaging our services, you agree to be bound by these terms.

1. Services

Virtex provides AI-powered receptionist services for small and medium-sized businesses. Our services include the setup, configuration, training, and ongoing management of an AI voice receptionist that handles inbound calls, takes orders, books appointments, and captures leads on behalf of your business.

2. Service Agreement

By signing up for Virtex services, you agree to the following:

  • A one-time setup fee is due at the time of enrollment, as outlined in your service proposal

  • A monthly retainer is billed on a recurring basis beginning on your go-live date, as agreed upon during onboarding

  • Services are provided on a month-to-month basis with no long-term contract required

  • You may cancel at any time with 30 days written notice to hello@virtex.com

  • The setup fee is non-refundable once onboarding has begun

3. Client Responsibilities

To ensure a successful setup and ongoing performance of your AI receptionist, you agree to:

  • Provide accurate information about your business, services, pricing, and FAQs during onboarding

  • Notify Virtex promptly of any changes to your menu, services, hours, or business information

  • Ensure your phone number is properly configured and forwarded as directed by Virtex

  • Designate a point of contact for communication with the Virtex team

4. Payment Terms

  • All payments are processed securely via the payment method agreed upon during onboarding. Fees are outlined in your Virtex service proposal

  • Monthly retainer payments are due on the same date each month

  • If a payment fails, you will be notified and given 5 business days to resolve the issue before service is paused

  • Virtex reserves the right to adjust pricing with 30 days written notice to existing clients

5. SMS and Communication Consent

By submitting your information through our website or onboarding forms, you consent to receive text messages and emails from Virtex related to your service setup, updates, and account management. You may opt out of text messages at any time by replying STOP. Message and data rates may apply.

6. Intellectual Property

All content, branding, technology, scripts, and systems used or provided by Virtex remain the sole intellectual property of Virtex. Clients may not reproduce, resell, or distribute any Virtex systems, workflows, or proprietary materials without express written consent.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the service relationship. This includes but is not limited to pricing, systems, client data, and business processes. Clients who have signed a Non-Disclosure Agreement with Virtex are additionally bound by those terms.

8. Limitation of Liability

Virtex provides AI receptionist services on an as-is basis. While we make every effort to ensure reliability and accuracy, we do not guarantee that the AI will handle every call perfectly in every circumstance. Virtex shall not be liable for:

  • Missed calls due to technical issues outside our control

  • Errors in call handling resulting from inaccurate information provided by the client

  • Lost revenue or business opportunities arising from service interruptions

  • Any indirect, incidental, or consequential damages

Our total liability to any client shall not exceed the total fees paid in the 30 days prior to the claim.

9. Service Modifications

Virtex reserves the right to modify, update, or discontinue any aspect of its services at any time. We will provide clients with reasonable notice of any material changes that affect their service.

10. Termination

Either party may terminate the service relationship with 30 days written notice. Upon termination:

  • Access to the Virtex dashboard and AI system will be discontinued at the end of the notice period

  • No refunds will be issued for the current billing period

  • Any outstanding balances are due immediately upon termination

Virtex reserves the right to terminate services immediately and without notice in cases of payment default, abusive conduct, or violation of these terms.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising from these terms or your use of Virtex services shall be resolved exclusively in the courts of the State of Florida.

12. Changes to These Terms

Virtex reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.
